1. Acceptance of Terms
These Terms & Conditions (“Terms”) form a binding agreement between you and Phyxtrade Ltd. (“Phyxtrade”, “we”, “us”, “our”). By accessing or using our websites, apps, accounts, or trading platforms (collectively, the “Services”), you agree to these Terms and any policies referenced herein.
2. Definitions
Account: Your registered profile enabling access to the Services. Order: An instruction to buy/sell or otherwise transact. Margin: Funds securing leveraged positions. Other capitalized terms have the meanings given in context.
3. Eligibility
- You must be at least 18 years old and have legal capacity to contract.
- You are not a resident of, located in, or otherwise subject to the jurisdiction of any sanctioned or restricted territory, and you are not a sanctioned person.
- You use the Services for yourself or on behalf of a duly authorized entity, and you warrant authority to bind such entity.
4. Account Registration & Security
- KYC/AML. We may require identity verification and ongoing monitoring. You must provide accurate, current, and complete information.
- Security. You are responsible for safeguarding credentials and devices and for all activities under your Account.
- Changes. Promptly update your details; notify us of suspicious activity immediately.
5. Services & Risk Disclosure
Phyxtrade provides access to trading tools, market data, and related functionality. We do not provide personal investment advice or fiduciary services.
- Risk Warning. Trading involves significant risk, including loss of principal. Leveraged products magnify losses. Past performance does not guarantee future results.
- No Advice. Content is for information only. You are solely responsible for your decisions.
- Availability. Features, instruments, and limits may vary by region and user status.
6. Fees, Funding & Withdrawals
- Fees. Applicable fees (including spreads, commissions, financing/overnight, network fees) are disclosed in the platform or fee schedule.
- Funding. Funding sources must be in your name and lawful. We may place holds or limits to manage risk.
- Withdrawals. Subject to security checks, compliance review, and available balance. Payout method may be limited to the original funding source where required.
- Chargebacks & Reversals. Unwarranted chargebacks may be treated as breach and lead to account action.
7. Orders, Execution & Margin
- Order Handling. Orders are executed on a best-effort basis and may be subject to slippage, latency, partial fills, or rejection.
- Margin. You must maintain required margin. Failure may trigger automatic liquidation without notice. You are liable for any deficit (negative balance) unless prohibited by law.
- Corporate Actions/Events. Prices may gap around news or events; stop orders are not guarantees.
8. Acceptable Use & Prohibited Activities
- Illegal activity, fraud, money laundering, or sanctions evasion
- Abusive trading (manipulation, wash trading, latency abuse, coordinated activity that undermines market integrity)
- Interference with the platform, scraping, reverse engineering, unauthorized API access
- Impersonation, misrepresentation, multi-account evasion of limits, or use on behalf of prohibited third parties
9. Market Data, Third-Party Content & Links
Data and content may be provided by third parties and are offered “as is” for personal, non-commercial use unless we grant a separate license. We are not responsible for external sites.
10. Intellectual Property
The Services and all related IP (software, design, trademarks, content) are owned by Phyxtrade or its licensors. You receive a limited, revocable, non-transferable license to access and use the Services in accordance with these Terms.
11. Privacy, Cookies & Records
Your use is also governed by our Privacy Policy and Cookie Policy. We may retain interaction and communications records as permitted by law.
12. Suspension & Termination
We may suspend or terminate access (with or without notice) for compliance, risk, or breach. You may close your Account at any time, subject to settlement of open positions and fees.
13. Warranties & Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, timely, secure, or error-free service.
14. Limitation of Liability
To the maximum extent permitted by law, Phyxtrade shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or opportunities. Our aggregate liability arising out of or relating to the Services shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to liability. Nothing limits liability for fraud, willful misconduct, or other liability that cannot be limited by law.
15. Indemnity
You agree to indemnify and hold harmless Phyxtrade, its affiliates, and personnel from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, unlawful conduct, or misuse of the Services.
16. Taxes
You are solely responsible for determining and paying any taxes associated with your activity and for obtaining tax advice as needed.
17. Changes to the Terms
We may modify these Terms from time to time. Updates will be posted with a new “Last Updated” date and become effective upon posting unless otherwise stated. Your continued use after changes constitutes acceptance.
18. Governing Law & Dispute Resolution
